Abstract

Wilayah Indonesia terdiri dari 65% perairan, maka dari itu penting bagi negara ini untuk memiliki konektivitas nasional di bidang maritim. Hadirnya pemerintah melalui BUMN dalam pembangunan infrastruktur sektor pelabuhan sangat penting untuk memastikan jalannya distribusi logistik ke seluruh penjuru negeri. Atas latar belakang tersebut, Pemerintah berinisiatif untuk melakukan penataan BUMN dengan cara holding kepada BUMN Pelabuhan. Skema yang dipilih dalam melakukan holding adalah dengan cara penggabungan atau merger atas PT Pelindo I, PT Pelindo II, PT Pelindo III serta PT Pelindo IV. Metode merger dalam holding BUMN ini dianggap paling tepat karena waktu yang dibutuhkan singkat dalam proses pelaksanaannya sehingga waktu yang dibutuhkan untuk mencapai peningkatan kapasitas sesuai yang diinginkan juga lebih cepat. Penelitian kualitatif dengan metode wawancara ini juga telah berhasil menjelaskan beberapa peran dari holding yang dilakukan Pelindo terhadap Proyek Strategis Nasional (PSN) yang sedang dilakukan. Holding memberikan perannya dalam hal pendanaan PSN, dimana terjadi peningkatan kapasitas perusahaan yang memudahkan untuk memperoleh pendanaan. Selain pendanaan, holding ini juga mampu mengurangi biaya capex proyek PSN dengan cara transfer alat idle untuk digunakan. Secara keseluruhan holding berpengaruh dalam menurunkan ego sektoral dalam pembangunan pelabuhan dalam rangka konektivitas nasional. Holding ini juga berhasil memberikan dampak pada turunnya biaya logistik nasional. Kondisi perusahaan pasca holding menunjukkan peningkatan arus peti kemas, arus kapal, arus penumpang dan produktivitas (Box Ship Hours). Penurunan pasca holding terjadi pada arus non peti kemas dan rasio likuiditas perusahaan, sedangkan ukuran keuangan berdasarkan rasio solvabilitas dan profitabilitas belum menunjukkan perubahan yang signifikan antara sebelum dan setelah holding. Indonesia's territory consists of 65% waters, so it is important for this country to have national connectivity in the maritime sector. The presence of the government through BUMN in the development of port sector infrastructure is very important to ensure logistics distribution throughout the country. Based on this background, the Government took the initiative to reorganize BUMN by holding the Port BUMN. The scheme chosen for holding is by merging or merging PT Pelindo I, PT Pelindo II, PT Pelindo III and PT Pelindo IV. This merger method in BUMN holding is considered the most appropriate because the time required is short in the implementation process so that the time needed to achieve the desired capacity increase is also faster. This qualitative research using the interview method has also succeeded in explaining several roles of the holding carried out by Pelindo in the National Strategy Project (PSN) that is currently being carried out. Holding provides PSN funding, where there is an increase in company capacity which makes it easier to obtain funding. Apart from funding, this holding is also able to reduce capex costs for PSN projects by transferring idle equipment for use. Overall, this has the effect of reducing sectoral egos in port development in the context of national connectivity. This holding also succeeded in having an impact on reducing national logistics costs. The condition of the company after holding showed an increase in container flows, ship flows, passenger flows and productivity (Box Ship Hours). Post-holding declines occurred in non-container flows and the company's liquidity ratios, while financial measures based on solvency and profitability ratios have not shown significant changes between before and after holding.
